Topic: Financial Due Diligence & Quality of Earnings (QoE): Impact on Deal Value from a CBV Perspective

This presentation explores how Financial Due Diligence and Quality of Earnings (QoE) directly influence deal value, structure, and execution from a Chartered Business Valuator (CBV) perspective. QoE is more than an accounting exercise; it is a critical risk assessment tool that enables buyers and investors to understand the sustainability, reliability, and underlying economic performance of a business.

The session will cover the top five factors that most often make or break a transaction, with practical insights drawn from real-world deal experience. Emphasis will be placed on working capital, including why delays in addressing working capital issues can dramatically impact value and transaction outcomes if left too late in the process.

In addition, the presentation will examine the quality of financial information and management teams, and how deficiencies can erode buyer confidence, prolong diligence, or lead to price adjustments and deferred/contingent payments. The discussion will look at how QoE findings influence deal structure, buyer certainty, and speed to close, ultimately shaping whether a transaction succeeds or fails.

Bob Plenderleith is a Partner at Durward Jones Barkwell & Company LLP (DJB), where he leads the firm’s Business Valuation and Transactions practice. He specializes in the valuation of private companies and the quantification of economic losses across a wide range of contexts, including corporate reorganizations, mergers and acquisitions, financial reporting, tax and estate planning, shareholder disputes, and matrimonial matters.

Bob brings more than 20 years of experience in business valuation, transaction advisory, litigation support and economic loss quantification, and insurance claims. He advises insurers, claimants, and legal professionals on matters such as business interruption, inventory and stock losses, income replacement benefits, motor vehicle accidents, and slip-and-fall incidents. His litigation and advisory experience also includes commercial disputes involving breach of contract, professional liability, and intellectual property matters. Prior to joining DJB, Bob spent over 15 years with a national Big Four accounting firm, where he focused on business valuation and advisory services.

Bob is a Chartered Professional Accountant (CPA), Chartered Business Valuator (CBV), and Certified in Financial Forensics (CFF). He has worked across a broad range of industries, including manufacturing, automotive, consumer and industrial products, insurance, agriculture, and metals production and processing.
