Topic: Sell-Side Due Diligence
Baby boomers own roughly 60% of small businesses in North America, yet most of these companies do not have a CFO. They are typically owner-managed businesses that have been built over decades and have succeeded without a dedicated financial executive. The challenge comes when it's time to sell. Buyers, lenders, accountants, lawyers, and other advisors can easily ask hundreds of questions during the sale process. Many owners have never been through a transaction before and are suddenly expected to produce detailed financial, operational, and tax information on demand. The difference between a smooth transaction and a difficult one often comes down to preparation. This presentation explores how business owners can get ready for sale, respond effectively to buyer diligence, and avoid unnecessary value erosion during the transaction process.
Speaker: Jamie Windle, Partner, Kalos LLP
Jamie is a Partner at Kalos leading the Toronto office presence. With over 20 years of due diligence experience, Jamie has knowledge of all phases of the M&A transaction process. He works closely with personal, corporate and private equity clients on their investment and divestiture decisions, with a focus on unlocking value and resolving deal issues. In his years of experience, he has worked on 850+ deals in the construction, manufacturing, service, oil, mining, consumer products, and technology industries on both the buy side and sell side of transactions on targets/clients with $1 million to $2 billion in revenue. As a former due diligence partner at a Canadian mid-market firm, he led cross-functional project teams across many functional areas, including financial, tax, information technology and human resources.
