Selling a business typically takes 6 to 18 months, depending on its size, complexity, industry and how well prepared the seller is. Clean financials, structured governance and low reliance on the owner make the process smoother and strengthen the seller’s negotiating position.
Growth by acquisition means expanding a business by buying another organization rather than relying on internal growth alone. This strategy can provide faster access to new markets, expertise, customers, technologies or complementary capabilities.
An acquisition is the purchase of all or part of a business, its shares or its assets. A business transfer refers more broadly to the planned handover of ownership or control to a family, internal or external successor. A transfer can take the form of an acquisition, but it also involves succession, continuity and transition issues.
Valuing a business relies on analyzing its financial results, assets, market, outlook and risks, among other factors. Common methods include industry multiples, discounted cash flow and asset-based valuation. A valuation generally establishes a range of value, which must then be confirmed through due diligence.
An M&A transaction usually involves several professionals: an M&A advisor, a transaction lawyer, an accountant, a tax specialist, a valuation specialist and financing partners.
